By downloading, accessing, or using The Clubhouse mobile application ("App"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the App.

2. Description of Service

The Clubhouse is a membership-based platform operated by 4th&1 Ventures, connecting professional athletes, executives, and investors with exclusive investment opportunities, events, experiences, and educational content. We provide information about deals and events but do not provide financial advice.

3. Eligibility

You must be at least 18 years old to use the App. By creating an account, you represent and warrant that you meet this age requirement. Certain features may require additional verification such as accredited investor status or professional athlete credentials.

4. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials
• You agree to provide accurate, current, and complete information during registration
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion

5. Membership and Subscriptions

The App offers various membership tiers with different levels of access and features. By selecting a membership plan:

• You agree to the pricing and terms associated with your selected tier
• Free trial periods, if offered, are subject to the terms presented at sign-up
• You may change or cancel your membership at any time through the App settings
• Membership is limited and may be subject to availability caps
• We reserve the right to modify membership tiers, pricing, and features with reasonable notice

6. SMS/Text Messaging Terms

The Clubhouse offers SMS notifications as part of its service. By opting in:

• Message Types: Account notifications, event updates, deal alerts, membership communications
• Message Frequency: Varies; typically 2-10 messages per month
• Message & Data Rates: Standard message and data rates may apply
• Opt-Out: Reply STOP to any message to unsubscribe, or disable in app Settings
• Help: Reply HELP for support, or email paine@4thand1ventures.com

Consent to receive SMS is not a condition of membership or purchase.

7. Investment Disclaimer

IMPORTANT: The Clubhouse does not provide investment advice, tax advice, or financial planning services. All investment opportunities presented through the App are for informational purposes only. Investing involves substantial risk, including the potential loss of your entire investment. Past performance is not indicative of future results. You should consult with qualified financial, legal, and tax advisors before making any investment decisions.

8. User Content and Conduct

You agree not to:

• Use the App for any unlawful purpose
• Share confidential deal information or proprietary content with non-members
• Impersonate others or misrepresent your identity or credentials
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality or servers
• Use automated systems to access the App without our permission
• Upload or transmit viruses, malware, or other harmful content

9. Intellectual Property

All content, features, and functionality of the App — including text, graphics, logos, icons, images, and software — are owned by 4th&1 Ventures and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

10. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, 4th&1 Ventures and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment returns, resulting from your use of the App.

12. Indemnification

You agree to indemnify and hold harmless 4th&1 Ventures from any claims, damages, losses, or expenses arising out of your use of the App, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the App will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Changes to Terms

We may modify these terms at any time. We will provide notice of material changes through the App or via email. Continued use of the App after changes take effect constitutes acceptance of the modified terms.
